Coaching Agreement
This Coaching Agreement governs the professional coaching relationship between FAANGUARD LLC and you (the "Student"). FAANGUARD LLC's professional coaching staff are referred to as the "Coach" throughout this Agreement. By booking a session, you agree to these terms in addition to our Terms & Conditions.

Scope of Services
FAANGUARD LLC provides professional coaching services designed to help software engineers and technical professionals prepare for job interviews and advance their careers. All sessions are conducted remotely via video conferencing and typically last 60-90 minutes.
Services Provided
- Interview Preparation: Mock technical interviews, behavioral interview coaching, and interview strategy guidance
- System Design Coaching: System architecture discussions, design pattern guidance, and scalability considerations
- Resume & Profile Review: Feedback on resume content, formatting, and LinkedIn profile optimization
- Career Coaching: Career strategy discussions, offer negotiation guidance, and professional development advice
- Leadership Coaching: Executive presence development, leadership transition support, and management skill building
Services NOT Provided
- Technical Support: Debugging code, fixing technical issues, or providing ongoing technical assistance outside of sessions
- Code Development: Writing code on behalf of the Student or completing take-home assignments
- Legal or Financial Advice: Legal counsel, tax advice, or financial advisory services
- Job Placement Services: Direct job placement, employer introductions, or guaranteed interview opportunities
- Mental Health Services: Therapy, counseling, or treatment for mental health conditions
Communication: Between sessions, Students may reach out via email with brief questions. The Coach will make reasonable efforts to respond within 48 business hours, but is not obligated to provide extensive coaching or consultation outside of scheduled sessions.

Please read this section carefully. These disclaimers are critical to understanding the nature of the coaching relationship.

FAANGUARD LLC coaching is educational in nature and does not guarantee any specific employment outcome. The Coach does not guarantee, promise, or warrant that participation in coaching sessions will result in:
- Job offers from any company
- Passing any specific interview or assessment
- Salary increases or specific compensation levels
- Career advancement or promotion
- Employment at any particular company or in any particular role
person Student Responsibility
While this coaching program is designed to facilitate career growth and interview preparation, the Student acknowledges that their success depends entirely on their own efforts, skills, market conditions, and individual employer decisions beyond the Coach's control.
The Student is solely responsible for all career decisions made during or after coaching, including but not limited to: accepting or declining job offers, negotiating compensation, leaving current employment, relocating for work, or making any other professional decisions.
payments Earnings Disclaimer
Any income figures, salary ranges, or compensation examples mentioned in marketing materials, testimonials, or during coaching sessions are not typical results and should not be interpreted as a promise or guarantee of earnings.
Individual results vary significantly based on factors including but not limited to: prior experience, technical skills, market demand, geographic location, economic conditions, and individual effort.
FAANGUARD LLC coaching is an educational service. The Coach provides guidance, feedback, strategies, and frameworks to help Students improve their interview skills and career decision-making. The Coach does not control hiring decisions, interview outcomes, or employment opportunities, which remain entirely at the discretion of prospective employers.
Session Conduct & Expectations
Student Preparation Requirements
To maximize the value of each session, Students are expected to:
- Come prepared with specific questions or topics to discuss
- Have materials ready (e.g., resume for review sessions, code samples for technical discussions)
- Complete any pre-session assignments or preparation tasks communicated by the Coach
- Be punctual and join the session at the scheduled time
- Actively participate in discussions and exercises during the session
Coach's Role & Boundaries
The Coach will:
- Provide honest, constructive feedback on interview performance and career strategies
- Share frameworks, methodologies, and best practices based on industry experience
- Tailor coaching to the Student's specific goals and session type
- Maintain professional boundaries and ethical coaching practices
- Respect the Student's autonomy in making career decisions
The Coach is not responsible for the Student's career outcomes and does not make decisions on behalf of the Student. All advice and guidance is provided as educational input only.
Professional Conduct Expectations
Both parties agree to:
- Treat each other with respect and professionalism
- Communicate clearly and honestly
- Maintain appropriate professional boundaries
- Refrain from harassment, discrimination, or inappropriate behavior
Violations of professional conduct expectations may result in termination of the coaching relationship as outlined in Section 9 (Termination).
Scheduling & Logistics
Session Format & Technical Requirements
- Platform: All sessions are conducted via video conferencing
- Duration: Sessions typically last 90-120 minutes depending on the session type
- Technical Requirements: Students must have a stable internet connection, working microphone, and camera
- Camera Recommendation: Video is strongly recommended during sessions for effective coaching and engagement, though not strictly required
Student's Responsibility: By booking a session, the Student confirms that they have the technical capability to attend the session and will ensure their equipment, internet connection, and environment are suitable for the scheduled session time.
Technical difficulties on the Student's side (e.g., poor internet connection, hardware issues) do not constitute grounds for refund or rescheduling. The Student is responsible for testing their technical setup prior to the session and ensuring they can access the video conferencing platform.
Cancellation & No-Show Policy
The cancellation and no-show policies are detailed in our Terms & Conditions . Key points:
- Cancellations with more than 24 hours notice receive refund minus processing fees (~96%)
- Cancellations within 24 hours are not permitted — full fee is non-refundable
- Express Sessions (booked <24h in advance) are non-refundable under any circumstances
- No-shows receive no refund and no rescheduling
Session Recording Policy
Recording sessions without explicit written consent is strictly prohibited.
If the Coach provides session recordings for the Student's review:
- Recordings are for personal review only
- Recordings may not be shared, distributed, or published without written permission
- Recordings may not be used to train AI models or for any commercial purpose
If the Student wishes to record a session for personal use, they must obtain explicit written permission from the Coach prior to the session.
Intellectual Property
All coaching materials, frameworks, templates, worksheets, methodologies, and content provided during sessions remain the exclusive intellectual property of FAANGUARD LLC and the Coach.
Personal Use Only
Materials provided during coaching sessions are licensed for the Student's personal use only. The Student may NOT:
- Resell, redistribute, or commercialize any coaching materials
- Share proprietary frameworks or methodologies publicly (e.g., blog posts, social media, courses)
- Create derivative works based on FAANGUARD LLC's proprietary content
- Use materials to provide coaching or consulting services to others
smart_toy Prohibition on AI Training
Materials provided by FAANGUARD LLC may not be used to train, fine-tune, or improve artificial intelligence models or machine learning systems. This includes but is not limited to: feeding content into ChatGPT, Claude, or other LLMs for training purposes, using materials as training data for custom AI models, or incorporating frameworks into AI-powered coaching tools.
Session Recordings
If session recordings are provided to the Student:
- Recordings are for personal review and learning only
- Recordings may not be shared with others, posted online, or distributed in any form
- Recordings may not be edited, excerpted, or used to create derivative content
Violation of these intellectual property terms may result in immediate termination of the coaching relationship without refund and potential legal action.
Confidentiality
Both parties agree to maintain confidentiality regarding the content of coaching sessions and any personal or professional information shared during the coaching relationship.
Coach's Confidentiality Obligations
The Coach agrees to:
- Keep all Student personal information confidential (name, contact details, employment history, etc.)
- Not share session content, career details, or coaching discussions with third parties
- Not disclose the Student's participation in coaching without permission
- Store Student data securely and in compliance with applicable privacy laws
Student's Confidentiality Obligations
The Student agrees to:
- Not share proprietary coaching frameworks, methodologies, or materials publicly
- Not disclose specific coaching techniques or strategies in public forums, blogs, or courses
- Keep session recordings (if provided) private and not share them with others
Exceptions to Confidentiality
Confidentiality obligations do not apply in the following circumstances:
- Information that is publicly available or becomes public through no fault of the receiving party
- Information required to be disclosed by law, court order, or government authority
- Anonymized or aggregated data that cannot identify the Student (e.g., "80% of students improved their interview performance")
Student's Responsibility for Employer NDAs
The Student is solely responsible for ensuring they do not violate any non-disclosure agreements (NDAs) or confidentiality obligations with their current or former employers. FAANGUARD LLC is not responsible for any information the Student shares during coaching sessions that may violate third-party NDAs, trade secret protections, or confidentiality agreements. The Student agrees to indemnify and hold harmless FAANGUARD LLC from any claims arising from the Student's disclosure of confidential or proprietary information belonging to third parties.
Testimonials & Success Stories
The Coach may request permission to use anonymized success stories or testimonials for marketing purposes. Any such use requires the Student's consent and will not include personally identifiable information unless specifically authorized.
Legal Protections
Limitation of Liability
To the maximum extent permitted by applicable law, FAANGUARD LLC, its coaches, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the coaching relationship, including but not limited to:
- Loss of employment opportunity or failure to obtain job offers
- Loss of income, salary, or compensation
- Career decisions made based on coaching advice
- Interview performance or outcomes
- Reliance on coaching guidance or strategies
- Any other damages related to career outcomes or professional decisions
FAANGUARD LLC's total aggregate liability to the Student for any claim arising out of or related to this Coaching Agreement shall not exceed the total amount paid by the Student for the specific session(s) giving rise to the claim.
Governing Law & Jurisdiction
This Coaching Agreement is governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with this Agreement or the coaching services provided by FAANGUARD LLC shall be subject to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida.
Severability
If any provision of this Coaching Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
Entire Agreement
This Coaching Agreement, together with the FAANGUARD LLC Terms & Conditions, constitutes the entire agreement between the Student and FAANGUARD LLC regarding the coaching relationship and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
Modifications
FAANGUARD LLC reserves the right to update this Coaching Agreement at any time. Continued participation in coaching sessions after any such changes constitutes acceptance of the updated terms. Material changes will be communicated to active Students via email.
Indemnification
The Student agrees to indemnify, defend, and hold harmless FAANGUARD LLC, its coaches, employees, contractors, and affiliates from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Career Decisions: Any career decisions made by the Student based on coaching advice, including but not limited to accepting or declining job offers, leaving employment, relocating, or negotiating compensation
- Third-Party Claims: Any claims brought by third parties (including employers, prospective employers, or other individuals) arising from the Student's actions, statements, or decisions made during or after coaching
- Confidential Information: The Student's disclosure of confidential, proprietary, or trade secret information belonging to third parties (including current or former employers) during coaching sessions
- Misrepresentation: Any misrepresentation or false information provided by the Student during coaching sessions or in application materials
- Violation of Terms: The Student's breach of this Coaching Agreement or the Terms & Conditions
This indemnification obligation survives the termination of the coaching relationship and continues indefinitely for claims arising from actions taken during the coaching period.
Termination
Termination by FAANGUARD LLC
FAANGUARD LLC reserves the right to terminate the coaching relationship immediately and without prior notice if the Student:
- Engages in abusive, threatening, harassing, or otherwise inappropriate conduct toward the Coach or FAANGUARD LLC staff
- Violates the intellectual property, confidentiality, or other terms of this Agreement
- Repeatedly fails to attend scheduled sessions without proper notice
- Engages in fraudulent activity or provides false information
In the event of termination by FAANGUARD LLC for cause, no refund will be issued for any prepaid sessions.
Termination by Student
The Student may discontinue coaching at any time. However, termination by the Student does not entitle the Student to a refund except as explicitly provided in the cancellation and refund policy outlined in the Terms & Conditions.
Individual Sessions: Most sessions are booked and paid for individually. The Student is not obligated to book additional sessions and may choose to discontinue coaching after any completed session.
Package Deals & Long-Term Coaching: If the Student has purchased a multi-session package or long-term coaching arrangement, the terms and conditions specific to that package apply. Package deals may have different cancellation, refund, and termination terms as outlined in the package agreement. Unused sessions from packages may be subject to expiration dates and specific refund policies.
Effect of Termination
Upon termination of the coaching relationship, the following provisions survive and remain in effect:
- Intellectual Property restrictions (Section 5)
- Confidentiality obligations (Section 6)
- Limitation of Liability (Section 7)
- Indemnification obligations (Section 8)
- Governing Law and dispute resolution (Section 7)
Force Majeure
FAANGUARD LLC shall not be liable for any failure or delay in performing its obligations under this Coaching Agreement due to causes beyond its reasonable control, including but not limited to:
Natural Disasters
- Hurricanes, tropical storms, floods
- Earthquakes, tornadoes, wildfires
- Other acts of God
Technical Failures
- Internet service provider outages
- Meeting or video platform failures
- Power outages or electrical failures
Government Actions
- Government restrictions or orders
- Public health emergencies or pandemics
- Civil unrest or war
Other Events
- Strikes or labor disputes
- Terrorism or acts of war
- Any other circumstances beyond reasonable control
Remedies in Force Majeure Events
In the event of a force majeure situation that prevents FAANGUARD LLC from delivering a scheduled session:
- FAANGUARD LLC will make reasonable efforts to reschedule the session at a mutually convenient time
- If rescheduling is not possible within a reasonable timeframe, the Student will be entitled to a full refund for the affected session
- FAANGUARD LLC shall not be liable for any consequential damages, lost opportunities, or other indirect losses resulting from the cancelled or delayed session
Note: Force majeure does not apply to technical difficulties on the Student's side (e.g., Student's internet connection, hardware issues). Students remain subject to the standard cancellation and refund policies for issues on their end.
Acknowledgment
By booking a coaching session with FAANGUARD LLC, the Student acknowledges and confirms the following:
I Have Read and Understood This Agreement
I have carefully read this entire Coaching Agreement and understand all of its terms, including the no-guarantee disclaimers, limitation of liability, and intellectual property restrictions.
I Am Entering This Relationship Voluntarily
I am entering into this coaching relationship of my own free will and have not been coerced, pressured, or misled into booking a session. I understand that I am free to discontinue coaching at any time, subject to the cancellation and refund policies.
I Understand the Educational Nature of This Service
I understand that FAANGUARD LLC coaching is an educational service designed to help me improve my interview skills and career decision-making. I acknowledge that coaching does not guarantee any specific employment outcome, salary increase, or career result.
I Am Responsible for My Own Career Decisions
I understand that I am solely responsible for all career decisions I make during or after coaching, including accepting or declining job offers, negotiating compensation, leaving current employment, or making any other professional decisions. I will not hold FAANGUARD LLC or the Coach liable for the outcomes of my career decisions.
I Agree to Respect Intellectual Property Rights
I understand that all coaching materials, frameworks, and methodologies are the intellectual property of FAANGUARD LLC and are provided for my personal use only. I will not share, redistribute, commercialize, or use these materials to train AI models.
I Agree to Maintain Confidentiality
I agree to keep proprietary coaching frameworks and materials confidential and will not share them publicly or use them for commercial purposes.
I Accept the Terms of This Agreement
By completing my booking and checking the agreement checkbox, I confirm that I accept all terms of this Coaching Agreement and the FAANGUARD LLC Terms & Conditions, and I agree to be legally bound by them.
